New Publication by Ieva Poderiene: Corporate Value Creation and the Board’s Role in Post-Merger Integration

eM&Ai member Ieva Poderiene, together with her co-author Valdone Darskuviene, has published a new article, "Corporate value creation: the effects of board role and composition on post-merger integration," in Managerial Finance.

This study addresses a critical gap in M&A research: the role of corporate governance in supporting successful post-merger integration (PMI) and corporate value creation. While previous research has explored board composition and firm performance, the links between board expertise, independence, involvement, and their role in PMI processes have remained underexamined.
Drawing on qualitative research based on the Gioia methodology and a constructivist perspective, Ieva conducted in-depth interviews with board members who had participated in M&A transactions and PMI execution. Her findings show that M&A failures are often rooted in limited attention to post-acquisition board structures and the underinvolvement of boards in the integration process.
The study highlights that strong board competencies, members’ prior PMI experience, and the reinforcement of CEO expertise are essential for preserving and creating value during integration. By decomposing PMI into distinct stages, Ieva demonstrates how board contributions vary across phases to address stakeholder tensions and support sustainable corporate outcomes.
This paper was first presented at the EURAM 2024 Conference in Bath, where valuable feedback from eM&Ai colleagues helped enrich and strengthen the final version. A testament to the power of academic community and support!
